OKLAHOMA STATE COUNCIL OF MINERALOGICAL SOCIETIES, INC.
BY-LAWS

ARTICLE I
- NAME
The name
of the organization shall be: "The Oklahoma State Council of
Mineralogical Societies, Inc." hereinafter referred to as the State
Council.
ARTICLE
II - PURPOSES
The
Oklahoma State Council of Mineralogical Societies, inc. shall be a
non-profit educational organization. The purpose of this organization
shall be"
A. To
serve various member clubs, but not impose any rules or regulations on
the membership.
B. To
maintain a calendar of member clubs activities in order to resolve
possible conflicts with member clubs, regional, or national shows.
C. To
raise money for a Scholarship Fund, and to award the scholarship to
college students in the Earth Science curriculum.
D. To
offer assistance to the member clubs when they need help.
E. This
organization shall not be any substantial part of its activities attempt
to influence legislation.
F. Its
net income shall not benefit any individual or individuals of this
organization.
ARTICLE
III - MEMBERSHIP
A. Any
club in the territory represented by the Oklahoma State Director, being
organized as non-profit and having the general purpose of the promotion
of the study and appreciation of rocks, gems, minerals, fossils, and
related earth sciences, upon application, may be a member of the State
Council without the payment of any dues. Members of the clubs are
automatically members of the State Council.
B. Each
affiliated club shall designate a Delegate and Alternate to the State
Council Board of Directors. Each Delegate or the Alternate should be
present at the meeting in order to vote for the club. Proxies will be
recognized.
ARTICLE
IV - COUNCIL MEETINGS
A. The
State Council shall hold one annual meeting each year at the Oklahoma
State Show held alternately in Oklahoma City and Tulsa. At this meeting
officers for the coming year shall be elected. Meeting is to be held on
Saturday at 2:00.
B.
Meetings may be held at any State Council activity provided the Board of
Directors are advised by mail 60 days in advance.
C. A
quorum shall consist of 51% of the member clubs.
D. Voting
at the State Council meetings shall be a s follows:

Council officers shall have one vote except the President

Each
member club shall have one vote through their delegate, alternate,
or proxy. In the event of a tie vote the President shall cast the
deciding vote.
E. Each
club will send the names of the delegates and alternate, or proxy, to
the Secretary/Treasurer in March each year.
ARTICLE V
- OFFICERS
A. The
elective officers of the State Council are the President, Vice
President, and Secretary/Treasurer. These officers shall constitute the
Executive Board. The President shall be the chairperson of the Executive
Board and shall preside at the Board of Directors meetings.
B. The
governing body of the State Council shall be the Board of Directors. The
Board of Directors shall be composed of the Council officers and the
Delegates from each member club. A Council officer shall not serve as a
club Delegate or Alternate, but may carry a proxy.
C. The
State Director of the Rocky Mountain Federation of Mineralogical
Societies, Inc. shall be an ex-officio member of the Board of Directors.
D. The
President shall not vote unless necessary to break a tie vote.
E. The
President or three members of the Board of Directors shall have the
power to call special meetings of the Executive Board for the
transaction of emergence business and to make interim appointments to
fill vacancies in office.
F.
Officers may be reimbursed only for operating expenses, and office
supplies, when conducting State Council business.
ARTICLE
VI - ELECTIONS
A. A
nominating committee will be appointed by the President. The candidates
for office will be announced at the fall swap, and clubs will be
notified by mail prior to the annual meeting.
B. At the
time of election, nominations will be taken from the floor if prior
consent is given by the nominee.
C. Voting
may be by voice, or written ballot.
ARTICLE
VII - COUNCIL ACTIVITIES
The
council may sponsor the following activities each year:
A. Judges
and Exhibitors Seminar will be the first weekend in March, unless
changed at the annual meeting because of conflicting dates.
B. A
spring and fall swap. The dates should be coordinated so as not to
overlap or conflict with the club sponsored activity, regional, or
national shows.
C. Any
expenditure on behalf of the State Council over $25.00 shall require
prior approval by the Executive Board. All Expenses anticipated by the
host club for a State Council sponsored event must have prior approval
from the Executive Board.
ARTICLE
VIII - SCHOLARSHIPS
A.
Scholarships shall be annual. More than one scholarship may be given,
according to the amount of money available.
B.
Scholarships shall be given to students at colleges or universities in
the State of Oklahoma offering courses in Earth Sciences.
C. The
check for the scholarship will be presented by an officer of the Council
or his representative at a local club meeting or Council activity, if
possible.
D.
Qualifications regarding the students chosen shall be listed in the
suggested duties of the Vice-President.
E.
Information about the student will be obtained and copies mailed to all
clubs so that all clubs can be aware of the award and the recipient.
F.
Procedures for choosing and awarding scholarship shall be established
and listed in the suggested duties of the Vice-President.
ARTICLE
IX - COMMITTEES
Committees
may be formed by the President as the need arises.
ARTICLE X
- LIABILITY
The State
Council is not responsible for accidents or injury at any State Council
activity.
ARTICLE
XI - AMENDMENTS
Suggested
amendments to the By-Laws must be mailed to the Secretary/Treasurer at
least 60 days prior to a State Council annual meeting so that copies can
be made and mailed to the member clubs at least 30 days prior to the
meeting.
ARTICLE
XII - DISSOLUTION
In the
event dissolution of the State Council is decided upon by a majority of
members at an official meeting, member clubs will be notified. They will
decide at their next club meeting how the assets of the State Council
shall be distributed. The State Council shall then have its last meeting
with the delegates voting as instructed by their club. Distribution
shall be made accordingly.
Choices
for distribution could be:
A. Money
given to one or more of the colleges or universities for their
scholarship fund with stipulation that it be awarded to Earth Science
field students.
B. Money
given to RMFMS or AFMS Scholarship Foundation
ARTICLE
XIII - QUESTIONS
All
questions not covered by this By-Laws shall be governed by Robert's
Rules of Order.
